Terms & Conditions
Effective date: 19 October 2026 | Last updated: 19 October 2026
These Terms & Conditions apply to the Vareqsa Digital website and services. By using the website or engaging our services, you agree to these terms. If you do not agree, do not use the website or services. For a specific project, a signed agreement, accepted proposal, or written quotation may set additional terms; if there is a conflict, the specific agreement will govern to the extent stated in it and permitted by law.
2. Business identity
Vareqsa Digital is a digital marketing and AI-solutions brand currently operating as an early-stage startup. It is not represented in this document as a registered company, LLP, or partnership. Before signing a contract or issuing an invoice, the legal name and details of the person or entity actually supplying the service should be clearly stated.
3. Services
Our services may include digital marketing strategy, Meta Ads and Google Ads management, social media management, reels and video editing, graphic design, logo and brand identity, website design and development, AI automation, CRM setup, QR-based feedback/review solutions, packaging design, and related digital services.
The exact scope, deliverables, timelines, number of revisions, fees, and exclusions will be described in the applicable proposal, quotation, invoice, or written agreement. Work outside the agreed scope may require additional fees and time.
4. Client responsibilities
- Provide accurate business details, project requirements, content, images, logos, access credentials, and approvals needed for the work.
- Ensure you have the rights and permissions to provide and use any content, personal data, images, trademarks, or customer lists supplied to us.
- Review deliverables and provide feedback or approvals within a reasonable time.
- Ensure your products, offers, claims, and business activities comply with applicable law.
- Use our services lawfully and do not request spam, deceptive advertising, fraud, unauthorized access, or other unlawful activity.
5. Fees, payments, and taxes
Fees and payment milestones will be stated in the applicable quotation or agreement. Unless agreed otherwise in writing, work may begin after the required advance payment is received. Advertising spend, domain and hosting charges, software licences, paid plugins, API usage, and other third-party fees are separate unless expressly included in the quote. Applicable taxes will be charged as required by law.
If payment is overdue, services may be paused after appropriate notice, subject to the agreement and applicable law. The client remains responsible for fees properly due for work completed and authorized costs incurred.
6. Advertising and campaign management
Advertising performance depends on budget, audience, competition, market conditions, creative quality, landing-page performance, platform systems, and other factors. We do not guarantee ad approval, leads, sales, reach, followers, conversions, rankings, revenue, or return on investment.
Campaigns are subject to the policies and decisions of advertising platforms, including Meta and Google. The client is responsible for the accuracy and legality of product claims, offers, pricing, and supplied information. Advertising platform charges may be billed directly by the platform.
7. Website development and technical services
Unless included in the written scope, domain registration, hosting, maintenance, security monitoring, premium themes, plugins, software licences, third-party integrations, and ongoing support may be charged separately. The client must review and approve content and functionality before launch.
Third-party services may change, experience outages, or discontinue features. No website or online system can be guaranteed to be completely secure, uninterrupted, or error-free.
8. AI, CRM, automation, and integrations
AI-generated outputs may be inaccurate, incomplete, or unsuitable without human review. Clients should verify important outputs before relying on them. Automations may depend on third-party APIs, subscriptions, permissions, and service availability.
Clients must not submit sensitive or confidential information to an AI or automation workflow unless the service has been appropriately assessed and authorized for that use. Any service-specific data-processing terms should be agreed separately where needed.
9. WhatsApp, email, and marketing communications
Campaigns using WhatsApp, email, SMS, or other communication channels must comply with applicable law, consent and opt-in requirements, anti-spam rules, and the relevant platform policies. Clients are responsible for ensuring that recipient data was collected and may be used lawfully. We may decline or suspend campaigns that appear unlawful or violate platform rules.
10. Content approvals and revisions
The number of revisions included will be stated in the proposal or agreement. Additional revisions, major changes, new requirements, or work outside scope may incur extra fees. The client is responsible for checking facts, prices, contact details, legal claims, and other information in materials before publication. Written approval authorizes use of the approved materials for the agreed purpose.
11. Intellectual property
Each party retains ownership of its pre-existing intellectual property. Rights in final deliverables created for a client will transfer or be licensed only as stated in the relevant agreement and, unless otherwise agreed, after payment in full. Vareqsa Digital retains rights in its pre-existing tools, templates, processes, know-how, and reusable components.
Third-party fonts, stock media, plugins, software, and other assets remain subject to their own licence terms. Unpaid drafts, concepts, source files, and working files are not automatically transferred to the client.
12. Confidentiality
Each party will take reasonable steps to protect non-public business information received from the other party and use it only for the agreed purpose. Disclosure is permitted where authorized, reasonably necessary to provide the service under appropriate safeguards, or required by law. Information already lawfully public or independently obtained without a confidentiality duty is not confidential under this section.
13. Cancellation and termination
Either party may request cancellation or termination in accordance with the applicable service agreement. A party may suspend or terminate services for material breach, non-payment, unlawful activity, or repeated failure to cooperate, subject to appropriate notice where required and applicable law.
Fees for completed work and approved third-party costs already incurred may remain payable. Refunds, if any, will be assessed under the separate Refund & Cancellation Policy, the project agreement, and applicable law. Nothing in these terms removes non-waivable consumer or statutory rights.
14. No guarantee of results
We will use reasonable professional efforts to deliver the services described in the agreed scope. However, we do not guarantee a particular business outcome, number of leads, sales, profit, audience growth, search ranking, campaign approval, uninterrupted platform access, or error-free AI output.
15. Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential loss arising from use of our services, including loss caused by third-party outages, platform policy changes, or reliance on unverified AI outputs. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud where applicable. Any further limitation must be consistent with applicable law and the specific agreement.
16. Third-party services
Our services may depend on Meta, Google, WhatsApp, hosting companies, payment processors, CRM platforms, AI providers, and other third parties. Their services are governed by their own terms and privacy policies. We are not responsible for independent decisions or interruptions beyond our reasonable control.
17. Acceptable website use
You must not use the website for unlawful purposes, attempt unauthorized access, upload malicious code, interfere with security or functionality, or copy protected material without permission. We may restrict access when reasonably necessary to protect users, systems, or legal rights.
18. Privacy and data protection
Personal information will be handled as described in our Privacy Policy and under applicable law. Clients must ensure they have the necessary legal basis, notices, and permissions before sharing personal data with us. Additional data-processing terms may apply when we process data on a client's behalf.
19. Changes to terms
We may update these terms by publishing a revised version and date. Changes apply prospectively, subject to applicable law and existing contractual commitments. Material changes to an ongoing project may require written agreement.
20. Governing law and disputes
These terms are governed by the laws of India. The parties will first attempt to resolve disputes in good faith. If unresolved, disputes may be brought before a competent court with jurisdiction under applicable Indian law. Mandatory legal rights are not affected.
